How to run a company in Spain?

In Spain, you can run your own company by your own, as individual, or with more people. To formalize all the procedures for creating your company, you will have to write it before a notary. To do this, all partners of the company must go to a notary and provide the following documentation:

  • Negative certification from the Commercial Registry
  • Bank certificate of deposit of share capital
  • Bylaws
  • DNI or NIE of the partners

In Spain, you need at least 3 people to run an Association. They will constitute a Board of Directors composed by one Secretary, on President and one Treasurer. You will need the following documents:

Founding Act

That must contain:

  1. The identity of the promoters if they are natural persons, the name or company name if they are legal entities, and, in both cases, the nationality, identity document and address; the identity, nationality, identity document and address of the people acting on behalf of the promoters.
  2. The will of the promoters to establish an association, the agreements that, if applicable, they have established and the name of the association, which will coincide with the one that appears in the Statutes.
  3. The designation of the members of the representative bodies or Board of Directors.


Statutes:

Must contain all the provisions of article 7 of Organic Law 1/2002, of March 22, regulating the Right of Association, without prejudice to the fact that they may also include any other content that the promoters consider appropriate, as long as they do not object. to the laws or contradict the principles that shape the right of association. They must be signed by all the promoting members, or their legal representatives if they are legal entities.



Taxes:

The "Copy for the Administration" sheet of the self-assessment form 790, validated by any banking entity, must be accompanied by proof of having paid the legally established fee to the Public Treasury. You can also pay the fee through the central electronic headquarters of the Ministry of the Interior.
